ABSTRACT
In order to improve management of commercial banks, a new governance structure should be adopted, but commercial banks are naturally different from commonenterprises, which lead togreat difference of the governance structure between them. First, this paper compares the difference and similarities in business management and operationbetween commercial banks and common enterprises. Second, from the perspective of state-owned commercial banks, the paper analyzes the difficulties during corporate governance. Last, the paper indicates that commercial banks must adopt purposeful, effective ways that are different from ways common enterprises adopt during their governance, aiming at supplementing current governance structures of Chinese commercial banks.
